WHAT IS A CONTRACT?

The Legal Definition: A Contract is a set of rules governing the relationship, which formalizes an agreement between two or more parties, in relation to a particular subject. Contracts cover a broad range of matters and include sales of good or real property, terms of employment, other formal relationships, settlement of disputes, and ownership rights to intellectual property. 

Contract Law is more formally defined as a promise or promises, which the law enforces. For there to be a Contract there must be an offer which must be accepted by the offeree to bind the agreement.  What does amount to an offer? This is a complicated question, and much of the dispute often hinges on whether there was an offer to begin with.

CONTRACTING TIPS

ALWAYS READ ALL YOUR CONTRACTS!

This is a must, whether you are going to have professional help reviewing your contract or not. You have to read every single line of your contract. I cannot stress how much damage control we do at Drason Law Firm because our clients skimmed over their contracts instead of reading them. It is because of this, we have made it a standard in our practice to have our clients review their contracts. I will often quiz my clients, just to force them to read the contract.  Read….read….read…your Contract.

ALWAYS ASK QUESTIONS

If you have any questions, write them down, ask a friend, research it or ask a professional. Asking questions will get you answers or at the very least steer you in the right direction. In the world of contracts-Ignorance is never bliss. Always ask questions until your heart is satisfied with the answer. If you are not satisfied with the answers then the contract might need some changes. But you will never know unless you ask the questions.

TAKE TIME TO THINK ABOUT YOUR CONTRACT AND ADDRESS POTENTIAL PROBLEMS

A Contract may appear to make sense when you first read it. Or did it really make sense? Question yourself! Re-read it a few times. Think about the Sentences, Terms, Clauses and even Organization. Is there anything the contract needs to cover? Does it all make sense? Or are there a Terms, Clause or Sentence that are confusing. Are there multiple interpretations to a Terms, Clause or Sentence.

A problematic Contract can plague you. Contracts allocate responsibilities, risk, penalties, payment terms, deadlines and more. Another way to limit the scope of the Contracts is to define Terms.

DEFINE TERMS IN YOUR CONTRACTS

Every single word in a Contract is valuable. Define your buzz words a.k.a Terms. The best Contracts are the ones with the least amount of ambiguity and confusion. Good Contracts are clear, precise and well defined in their scope. It is always a good practice to detail out the definitions of all key Terms in a Contract. It is good practice to define Terms that are obvious to prevent alternate interpretations. Always write down definitions to Terms even if you are in agreement over a conversation. Remember, if oral definitions are different than commonly accepted trade definitions or ordinary meaning, it may be difficult to establish or even prove them in court in case of a dispute. In such cases, the Judge will usually go with the trade definition or the ordinary meaning.

HOW DO I CHANGE TERMS or CLAUSES THAT I DO NOT LIKE

If you do not like Terms or Clauses in your Contract, you can always propose a change. Keep in mind, contractual situations, negotiating power, and sophistication will play a part in this. Not all Terms or Clauses are negotiable. Often many Terms and Clauses are industry standards. There is often little to no wiggle room for them in such situations. Having said that, there is room for negotiation for other parts of the Contract such as non-standard terms, deliverables, payment and conditions. If you are dealing with a sophisticated party or someone who is savvy, I urge you to get a hold of us and help us assist you in getting the best deal possible.

CREATIVE SOLUTIONS

Do not limit yourself. Contracts can and often do have creative solutions that accomplish the goals of both parties to the Contract. If there are Terms and Clauses in a Contract that are not working for you. You can often propose creative solutions that may accomplish both your goal and satisfy the person on the other side.

HAVE AN ATTORNEY DRAFT, NEGOTIATE AND EXECUTE A CONTRACT ON YOUR BEHALF

An attorney can help you from beginning to end or only the phases you require assistance. The level of involvement often depends on the client’s comfort, budget and other relational constraints.

When dealing with Contracts, it never hurts to have someone who understands them well on your side. They will assist you in getting the best possible outcome before concluding on the terms of the Contract.

The most common involvement of an Attorney in Contracts is reviewing them or redlining them. Redlining is a process where two parties comment on a Contract, make changes and propose changes to term, clauses and language on a shared document. This process can take some time and can be tedious. You have to account for how the changes will affect the rest of the document and how the changes proposed by the other party affect you.

We deal with contracts in our everyday lives. From your shopping receipt, your first car purchase to entering into contracts for your Company or Business.
